Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by ManagedClaws ("ManagedClaws", "we", "us", or "our"). By creating an account, purchasing a service, or otherwise using ManagedClaws, you agree to be bound by these Terms. If you do not agree, do not use the service.
1. The Service
ManagedClaws provides managed hosting and customization services for OpenClaw-based AI agents, including but not limited to: ready-to-deploy agent templates, custom agent design and engineering, on-site deployment in supported regions, monitoring, technical support, and related cloud infrastructure.
2. Eligibility
You must be at least the age of majority in your jurisdiction (and in any case at least 16 years old) and able to form a binding contract to use ManagedClaws. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Account Registration and Security
To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it up to date. You are responsible for safeguarding your credentials, for all activities under your account, and for ensuring that any individuals you authorize comply with these Terms. Notify us promptly at contact@managedclaws.com if you suspect unauthorized access.
4. Subscription Plans, Pricing, and Payment
ManagedClaws offers (a) standard template subscriptions billed on a recurring basis, (b) custom services billed by quote, and (c) on-site deployment offered as a one-time fee. Current pricing is shown on the website at the time of purchase.
- Subscriptions renew automatically at the end of each billing cycle until cancelled. You may cancel at any time, effective at the end of the then-current cycle.
- Payments are processed by Stripe. By submitting payment information, you authorize the applicable charges and any recurring renewals at the then-current price.
- We may change prices, plans, and included features. For active subscriptions, material price changes will take effect at the start of the next billing cycle after reasonable notice.
- You are responsible for any taxes, duties, currency conversion fees, or charges imposed by your bank or card issuer.
5. Free Trials and Promotions
We may offer free trials, coupons, discounts, or promotional pricing. Unless stated otherwise, trials convert automatically into a paid subscription at the end of the trial period. Promotions are limited to the terms stated at the time of the offer, may be modified or withdrawn at any time, are non-transferable, and have no cash value.
6. Refund Policy
Except where required by applicable law, fees paid to ManagedClaws are non-refundable, including unused portions of a billing cycle after cancellation.
- If you experience an issue caused by us that materially prevents you from using a service for which you have paid, contact us within fourteen (14) days and we will work in good faith to resolve the issue or, in our discretion, issue a partial or full refund or service credit.
- Custom-engineered services and on-site deployment fees are non-refundable once work has begun, except where expressly agreed in writing.
- Refund requests must be made through contact@managedclaws.com.
7. AI Output Disclaimer
AI agents provided through ManagedClaws use large language models and other automated systems whose output may be incorrect, incomplete, biased, or otherwise unsuitable. You are solely responsible for reviewing AI output before relying on it, especially for legal, financial, medical, employment, safety-critical, or other consequential decisions. You should not treat AI output as professional advice.
You acknowledge that AI agents may take actions on systems you connect them to (such as sending messages or modifying files) based on instructions you configure. You are responsible for the scope of permissions you grant and for monitoring agent behavior.
8. Acceptable Use
You agree not to, and not to permit any third party to:
- Use ManagedClaws to violate any applicable law or regulation, or to infringe the rights of others.
- Use the service to send spam, phishing, malware, harassment, or unsolicited bulk communications.
- Use the service to generate, distribute, or process content that is unlawful, defamatory, sexually explicit involving minors, intentionally deceptive, or that incites violence or discrimination.
- Probe, scan, or test the vulnerability of the service, or breach or circumvent any security or authentication measures.
- Reverse engineer, decompile, or attempt to extract the source code of the service, except as expressly permitted by law.
- Interfere with the operation of the service, or impose an unreasonable load on infrastructure (including by automated scraping not authorized by us).
- Use the service in violation of the terms of any third-party platform you connect (for example, the platform terms of LLM providers, Telegram, WhatsApp, email providers).
We may suspend or terminate access for violations of this Section, with or without notice depending on severity.
9. Third-Party Services and Content
ManagedClaws integrates with third-party services such as cloud infrastructure providers, payment processors, LLM providers, and messaging platforms. Your use of any third-party service is subject to that service's own terms and privacy policies. We are not responsible for the availability, accuracy, content, or practices of third-party services, and outages or changes by such providers may affect the operation of your AI agents.
10. Your Content and Data
You retain all rights in the content, data, configurations, and credentials you submit to ManagedClaws ("Customer Content"). You grant ManagedClaws a worldwide, non-exclusive, royalty-free license to host, transmit, process, display, and otherwise use Customer Content solely as necessary to operate the service for you, to provide support, to ensure security, and to comply with law.
You represent that you have all rights necessary to submit Customer Content and to authorize the agents you configure to interact with the systems you connect.
11. Intellectual Property
ManagedClaws and our licensors retain all right, title, and interest in and to the ManagedClaws website, software, agent templates, documentation, brand, and all related intellectual property. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the service for your internal business purposes during the term of your subscription.
12. Service Availability
We use commercially reasonable efforts to keep ManagedClaws available, but we do not guarantee uninterrupted or error-free service. Scheduled maintenance, updates, third-party outages, security incidents, and force majeure events may cause temporary unavailability. Unless we have a separate written service-level agreement with you, no specific uptime is guaranteed.
13. Suspension and Termination
You may stop using ManagedClaws at any time by cancelling your subscription and, if you wish, deleting your account.
We may suspend or terminate your access, in whole or in part, with or without notice, if (a) you breach these Terms or our Acceptable Use rules, (b) we are required to do so by law, (c) your account presents a security risk, (d) you fail to pay amounts owed, or (e) we discontinue the service. On termination, your right to use the service ceases. Provisions intended by their nature to survive termination (for example, payment, disclaimers, limitations of liability, indemnification, governing law) will survive.
14. Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MANAGEDCLAWS PROVIDES THE SERVICE "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MANAGEDCLAWS OR ITS PERSONNEL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO MANAGEDCLAWS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). MULTIPLE CLAIMS DO NOT ENLARGE THIS LIMIT.
16. Indemnification
You agree to defend, indemnify, and hold harmless ManagedClaws and its personnel from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from (a) your use of the service in breach of these Terms, (b) Customer Content you submit, (c) actions taken by AI agents you configure, or (d) your violation of any applicable law or third-party right.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to its conflict-of-laws principles. The courts located in Vancouver, British Columbia, have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the service, except that either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
18. Changes to These Terms
We may revise these Terms from time to time. When we make material changes, we will update the Effective Date above and, where appropriate, provide additional notice. Your continued use of the service after the new Effective Date constitutes acceptance of the revised Terms. If you do not agree, your remedy is to stop using the service and, if applicable, cancel your subscription.
19. Miscellaneous
- Entire Agreement — These Terms (together with the Privacy Policy and any order or quote referencing these Terms) constitute the entire agreement between you and ManagedClaws regarding the service.
- Severability — If any provision is held unenforceable, the remaining provisions remain in full force.
- No waiver — Our failure to enforce any right is not a waiver of that right.
- Assignment — You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Notices — We may give notice through the service, by email, or by posting on our website.
